This Partner’s Policy (“Policy”) governs the relationship between FilCan Technologies LLC (“Stampable Labs”) and the business entities or authorized representatives (“Partners” or “Merchants”) utilizing our platform. By registering as a Partner, you agree to adhere to these standards to ensure a high-quality ecosystem for all users.

1. Honor of Rewards & Platform Integrity

• The Guarantee: Partners must honor all valid digital stamps and rewards presented by Users through the Stampable Labs app.

• Consistency: Rewards offered through the “Virtual Barker” or the digital stamp card must match the physical experience in-store. Refusal to honor a valid reward without a legitimate reason is grounds for account suspension.

2. The “Virtual Barker” & Merchant Ethics

• No Spamming: Partners may not use the AI to send excessive or misleading notifications.

• Accurate Descriptions: Partners are responsible for reviewing AI-generated content (in English or Arabic) to ensure it aligns with local GCC cultural norms and business regulations.

3. Commission Structure & Eligibility

Stampable offers a 30% commission to Partners for successful Merchant Acquisition under the following terms:

• Active Status Required: Commission is only generated and paid out when the referred Merchant is in ACTIVE status (subscription fully paid).

• The “Pause” Rule: If a Merchant enters PAUSE mode (due to non-payment, payment failure, or suspension), the 30% commission is immediately deactivated. No commissions are earned for periods where the Merchant is not paying the full subscription amount.

• Scope: Commissions apply strictly to Monthly and Annual subscription fees. Commission is calculated based on the actual amount paid by the acquired business.

4. Partner Responsibilities (Support & Onboarding)

To maintain the 30% commission, Partners must serve as the primary point of contact for their Directly Acquired Merchants:

• Mandatory Support: Partners must provide direct technical and marketing support to their onboarded businesses. This includes assistance with Web App configuration, “Virtual Barker” campaign strategy, and staff training.

• Direct Acquisition Requirement: Commissions are only granted for Direct Acquisitions. If a Partner is unresponsive and FilCan Technologies must provide the support, we reserve the right to reassign the commission.

5. The “Founding 50” Commitment

Merchants/Partners who have secured the 50% Lifetime Discount agree to:

• Active Participation: Maintain an active loyalty program for their customers.

• Continuous Billing: Acknowledge that a single missed payment results in the permanent forfeiture of the 50% discount.

6. Intellectual Property & Data

• License: Partners grant Stampable Labs a non-exclusive license to use their business name and logo for app listings and proximity notifications.

• Data Privacy: Partners can view user data relevant to their specific program but may not export or market to users outside of the Stampable Labs ecosystem without separate, explicit consent.

7. Professional Conduct & Indemnification

Partners agree to maintain professional storefront standards and comply with local GCC advertising laws. Partners agree to indemnify FilCan Technologies LLC against any claims arising from the Partner’s physical business operations.

8. Termination

FilCan Technologies LLC reserves the right to terminate this agreement and cease commission payments if a Partner violates these terms, engages in fraudulent activity, or fails to provide the required support to their acquired merchants.
